PREAMBLE

TeslaPimp is an e-commerce company specializing in the sale of new and adaptable automotive products, accessories, spare parts from equipment manufacturers or wholesalers (together the ” Products “).

TeslaPimp wishes to work towards a liberalization of the Tesla car spare parts market in order to provide consumers with a wide choice of new spare parts at the best prices and in the best conditions of quality and delivery, thanks to its wide catalog. To achieve this goal, TeslaPimp accompanies its customers throughout their buying journey, with the help of its support, logistics platforms and ever-evolving tutorial publications.

The satisfaction of our customers is the key to the success of TeslaPimp.

These general conditions of use (hereinafter referred to as “GTCU“) apply without restriction or reservation to any Internet user (hereinafter referred to as the “User“) browsing the www.teslapimp.com website (hereinafter referred to as the “Site“). “) for the use of the Site and the Services offered by TeslaPimp, a public limited company with a share capital of 100 euros, whose registered office is located at 8 place du Marché Neuf, 67000 Strasbourg, France, registered with the Strasbourg Trade and Companies Register under number 913 190 955 (hereinafter referred to as “TeslaPimp”).

ACCEPTANCE AND MODIFICATIONS

Any use of the TeslaPimp Services implies prior knowledge and express and unreserved acceptance of these General Terms and Conditions of Use and Provision of the Services by the User.

The GTCU are intended to frame the conditions of use of Teslapimp, its Services and Content, by Users and to define their rights and obligations. They apply to any Internet user.

Teslapimp reserves the right to modify, at any time, its GTCU in order to develop its services or to comply with any new applicable regulations. The applicable GTCU will be those in force on the date of connection of access to the User’s Site or during any registration for the Services offered by Teslapimp.

The User is therefore advised to regularly consult the GTCU on the Site to stay informed of any new update.

DESCRIPTION OF TESLAPIMP SERVICES

The Site offers the User the following services (together the ” Services “):

Obtain commercial offers, newsletters, promotional codes on the Products of the Site,
Participate in games and contests,
Publish reviews following consumer feedback on the Site,
Make requests for quotes and purchases according to the terms and conditions provided for in the general conditions of sale,
Share your selected Product basket on the Site before any purchase,
Benefit from help and contact by email and phone with TeslaPimp customer service,
Discover mechanical tips and tutorials to allow Users to maintain, personalize and repair their vehicles,
Share its automotive experience through the provision of a discussion forum between Users on social networks,
Read news related to TeslaPimp and the Tesla automotive world in general via the articles on the TeslaPimp.com website,
Go directly to TeslaPimp’s social media accounts page through social media icons.

The above list is indicative and may be updated by TeslaPimp according to the Services offered on the Site. TeslaPimp has the possibility to add, suspend or delete Services, without prior agreement of the User.

CONDITIONS OF ACCESS AND USE OF THE SERVICES

The Site is accessible free of charge to any User with Internet access. All equipment (computer hardware, software, telephones, etc.) and electronic communications costs resulting from their use (Internet access costs, telephone costs, etc.) to allow access and use of the Services to the User, are at his expense.

The Use of the Services is reserved for persons with full legal capacity to enter into obligations on the Site.

The User acknowledges that the conditions specific to the use, in particular, of a promotion, participation in a game and contest, are directly indicated in TeslaPimp’s commercial offers and agrees to have read them before any use.

2.1 PUBLICATION RULES

The User accepts and declares not to submit any publication on the Site and Services (Customer Reviews, forum, tutorials, TeslaPimp professional page on third-party site, TeslaPimp contact) that includes content that (non-exhaustive list):

is unlawful: contrary to public order, such as rude, abusive, discriminatory remarks, etc.,
is unintelligible: random characters, misspelled, illegible, etc.
features quotes from competitors,
presents a note that is inconsistent with the comment,
is considered defamatory,
relates to a Product / Service not purchased on the Site,
relates to a consumer experience not carried out on the Site,
relates to advice or diagnoses normally undertaken by a professional consultation for reasons relating to the safety of property and persons,
does not provide information describing the consumer experience,
aims to denigrate the average of a product or a third company,
is unrelated to the Product purchased or the consumer experience noted, contains personal information or any other information likely to lead to identity theft: the name or surname of third parties who are not public persons, a telephone number, a precise physical address or email address, a credit card number, social security, bank account, etc.
targets commercial canvassing (sales, advertising, etc.)
encourages purchase from a competitor of Teslapimp,
contains concrete elements of conflicts of interest,
contains an inappropriate comment in response to other content or its author,
contains spam, mentions third-party sites (url address) to Teslapimp, photos, images,
includes a call for legal action,
expresses in writing its wish to give its opinion again,

Teslapimp reserves the right to remove any content (i) which violates these T&Cs in particular defined in the publication rules or (ii) to comply with applicable regulatory and legal obligations.

2.2 TESLAPIMP CUSTOMER ACCOUNT

For any registration to the following services: commercial offers, newsletters, promotional codes, games and contests, customer reviews, tutorials and forum, the User must, with some exceptions, hold a Teslapimp account and authenticate himself directly on the Site using his username and password. If the User does not have a Teslapimp account, then he must create an account on the Site.

The information required to create the account is: a valid email address and a password that meets the level of security required by Teslapimp. During the first use, other information will be requested from the User: surname, first name, a telephone number, a postal address and a valid e-mail address corresponding thereafter to the User’s identifier. The email inserted by the User when creating the customer account holds ownership of the account. In case of modification of it by the User, a request for confirmation to the email address creating the account will be sent by Teslapimp for acceptance of the modification concerned.

During each new visit, if the User wishes to subscribe to the services mentioned above, place an order or consult his “My Account” space, the User must identify himself beforehand using his strictly personal and confidential information chosen by him.

The User is required to preserve the confidentiality of his identifiers. In the event of loss, forgetfulness or misuse of his identifiers by a third party, the User must immediately inform Teslapimp by contacting Teslapimp Customer Service via the contact@teslapimp.com email address.

The User acknowledges and accepts that Teslapimp has the possibility at any time and for any reason whatsoever to modify, suspend and delete its Services present on the Site.

The User accepts that Teslapimp modifies, suspends and deletes his access to the Services without notice, formal notice or compensation of any kind whatsoever, in the event of breach of any of the obligations described in the GTCU, or the legislation in force and in particular in the event of:

infringements or violations of the GTCU and or any other documents regulating the Services of the Site,
non-compliance with a legal or regulatory provision in force,
unauthorized login attempt, by fraudulent use of the system or by usurpation of access credentials,
technical malfunction that led by mistake to the deactivation of the User’s registration.

Teslapimp informs the User that the creation of his personal account on one of the websites belonging to the Teslapimp Group is a unique account. Your usernames and passwords remain unchanged for any connection to Teslapimp’s websites. If the User makes a request to delete his personal data related to his customer account, then the deletion will be automatically carried out on all Teslapimp websites.

2.3 COMMERCIAL OFFERS – NEWSLETTERS – PROMOTIONAL CODES

Commercial offers and newsletters

Newsletters are commercial emails that the User receives regularly to keep him informed of the latest news (Products, Services, games and contests, news) or promotions of Products and Services (promotional codes or simple indication of reduction of the selling price on a Product or Service) of the Site.

Commercial offers are communicated to the User, in particular by:

a publication displayed on the Site (via a promotional banner, via the catalog or the Product sheet, via the description of the Service, etc.),
a partner advertising/media campaign (display on leaflets, newspapers, magazines, third-party sites, etc.),
a promotional email sent by Teslapimp to the User.

With the exception of publications on the Site and advertising campaigns, to receive commercial offers and newsletters by email, the User must:

have given their consent to the creation of their Teslapimp account by ticking the box provided for this purpose.,
have given his consent at the bottom of the page of the Site, by entering his email in the section provided for this purpose.

If the User wishes to receive commercial offers and newsletters by email, Teslapimp invites the User to connect to the Site and accept receipt of promotional emails. Without this, Teslapimp cannot be held responsible for the User’s failure to receive commercial offers and newsletters.

The use of the newsletter at the bottom of the page of the Site is strictly reserved for personal use, intended to be sent to the User’s e-mail address and in no case to the e-mail of a third party for which it has not been duly authorized by the third party and by Teslapimp.

Teslapimp declines all liability that may be contrary to the use of the aforementioned Service in the GTCU. The User undertakes to fulfil his obligations and not to infringe the private rights of third parties by the fraudulent use of the Service.

The User who wishes to unsubscribe from promotional emails must follow the “Unsubscribe” link that Teslapimp offers him and which appears at the bottom of the email received by the User. Simply follow this link and click on “Unsubscribe”.

PROMOTIONAL CODES

As part of promotional actions, promotional codes may be offered at any time by Teslapimp. They have an expiry date, are not cumulative, transferable and cannot be exchanged or purchased from Teslapimp.

Promotional codes are valid only for the period indicated and can only be used once as part of a single order. A minimum and/or maximum purchase amount can be specified for each coupon.

To be able to use a promotional coupon, the User must log in to his Teslapimp customer account and must enter his promotional coupon at the time of validation of the basket. Promotional codes are not applicable to orders already validated. Unless otherwise stated, the Customer who has received the promotional code, will be the only one who can benefit from it.

For more details concerning the payment and refund related to the use of promotional codes, Teslapimp invites the User to read the general conditions of sale.

In case of fraudulent use, sales, losses, falsifications, technical errors beyond the control of Teslapimp and which affect the operation, visibility of the promotional code, Teslapimp reserves the right to modify, suspend or cancel it. No refund and no new issue in favor of the Use will be made by Teslapimp.

The User acknowledges and agrees to have read before any use, the additional specific conditions related to the use of a promotion (offers, promotional codes, etc.) concerning the duration of use, the reduced price, etc. which will be directly provided for in the commercial offers sent to Users and/or published on the Site.

2.4 CUSTOMER REVIEWS, FORUMS AND TUTORIALS

Fields of application

Reviews

After purchasing a Product or using a Service on the Site, Teslapimp and its subcontractors have the possibility to contact the User by email to invite him, without compensation, to submit an online review concerning the report/quality of the Product purchased on the Site or share their Teslapimp customer experience.

Forum and Tutorials

The Forum and the Tutorial are places of exchange and mutual aid of the Teslapimp community, based on a system of questions, answers, posting of photos, videos related to the User’s car maintenance.

The principle of use is to:

dialogue freely in order to exchange information and advice in the automotive field,
put online tutorials (photos and videos) related (illustrating) to the assembly of a car part,

Publication

Reviews

The submission of a review is reserved only for Teslapimp customers who must necessarily relate to a consumer experience lived personally and individually.

The User assigns a comment that must reflect the positive points and points of improvement that he has noted during his consumer experience on the Site and which are intended to advise customers or future customers of Teslapimp in their purchase decision on the Site (product test, control circuit, delay and contact with Teslapimp’s services, etc.).

Teslapimp invites the User to protect his privacy and not to disclose information about his personal data (name, telephone, email, postal address, etc.) in the notices published on the Site.

Teslapimp may display the following information on reviews:

the date and time of filing of the notice,
the date of consumption experience,
the first name and the first letter of the name of the author of the review.

The User agrees that Teslapimp and its duly authorized subcontractors use his e-mail address to: invite him to publish reviews, contact him to notify him of the publication or refusal to publish his opinion, provide him with a response to his opinion, etc.

All reviews posted by the User are potentially published for a period of three (1) years from its publication, this duration corresponding to the time of referencing of the Product covered by the review. This notice will be retained by Teslapimp for as long as necessary for its operation.

Forum and Tutorials

The User is solely responsible for the content of messages and documents exchanged with one or more Users as part of discussions related to the forum and alone appreciates their relevance and sensitivity.

The User undertakes not to hinder or hinder the use of the forum by other Users.

The User undertakes not to use Teslapimp for the benefit of any commercial or promotional action. The User undertakes not to disseminate illegal content or information contrary to public order and morality, and in general not to perform any act constituting a criminal offence. Thus, the User acknowledges and accepts that publications are moderated or refused, without justification by Teslapimp.

The User acknowledges and accepts the rules of publication as to their content and moderation by Teslapimp provided for in these Terms.

By publishing on the Site, the User assigns to Teslapimp the non-exclusive and free right to represent, reproduce, adapt, modify, broadcast, and distribute his publication, directly or by an authorized third party.

Moderation

The purpose of moderation is to ensure the compliance of the content collected being specified in these Terms in order to publish, reject or delete this content.

The User acknowledges and accepts that the opinions published on the Site are subject to moderation by Teslapimp and its duly authorized subcontractors. Reviews that comply with the T&Cs are published directly on the Site, and those that do not comply with them are automatically deleted by Teslapimp. In both cases, the User is notified by email of the publication or not of his opinion. For the latter case, Teslapimp informs the User of the reasons for the refusal to publish the notice.

Teslapimp reserves the right, at its sole discretion, to modify or delete any review published on the Site by the User from the moment Teslapimp considers that their content derogates from these Terms.

The User agrees that Teslapimp and its duly authorized service providers have the right to use, reproduce, adapt, store, publish, translate, exploit, distribute and display the content, in full or by extract, of the notice for statistical studies, marketing or commercial prospecting purposes, in compliance with the intellectual property rights that the User may claim.

2.5 SHARING THE PRODUCT BASKET

After the User has selected the Products on the Site and added them to his basket, the User has the possibility to share his basket on his e-mail address.

The User acknowledges and accepts that the price and availability of the Products may be different at the time of sending the basket to his e-mail address and at the time of its validation on the Site. Each User is notified of any changes made to his basket by Teslapimp before any validation of the order.

The use of basket sharing is strictly reserved for personal use, intended to be sent to the User’s e-mail address and in no case to the e-mail of a third party for which it has not been duly authorized by the third party and by Teslapimp.

3. SECURITY

Teslapimp takes particular care to ensure that its Services constitute a secure space on the Site for all Users. However, Teslapimp cannot guarantee this, since by using the Teslapimp Services, the User agrees to:

not to use the Services for illegal purposes or purposes contrary to these Terms,
not to use malicious computerized means and interfaces to access the Services and extract the data of other Users,
not to use or develop third-party applications that interact with the Services or the content or data of other Users, without the written permission of Teslapimp,
not to use the Services in any manner that could disrupt, disrupt, negatively affect or prevent other Users from fully enjoying the Services, or that could damage, disable, overload or impair the operation of the Services,
not to use or attempt to use another User’s account, Username or password without their permission,
not to ask for the login credentials of another User,
not to publish content contrary to public order,
not to upload viruses or other malicious code, or otherwise compromise the security of the Services,
not to attempt to divert any content filtering technique that Teslapimp uses or to access areas or features of the Services that Users have not been authorized to access,
not to probe, scan or test the vulnerability of the Teslapimp Services or any system or network,
not to encourage or promote any activity that would be contrary to the provisions of these Terms.

4. LIABILITY

4.1 LIMITATION OF LIABILITY

Teslapimp makes its best efforts to offer a quality service to the User. The User nevertheless acknowledges that Teslapimp is only bound by an obligation of means.

The sources of the information disseminated on the Site are deemed reliable and comply with the legal and regulatory provisions in force on the day of their publication. Teslapimp does not warrant that the Site is free from defects, errors or omissions.

Teslapimp regularly updates the Site and Services. Following a new or a modification of legal and regulatory provisions, Teslapimp can not be held responsible for a failure to update the Site or a Service relating to the information integrated in a previous publication.

The information communicated to the User is indicative and has no contractual value.

The User acknowledges that the proper functioning of the Site is subject to the conditions of access to the Internet network and its limits and possible restrictions (coverage, saturation, availability). Teslapimp cannot therefore be held liable on this basis.

The photographs and illustrations accompanying the Products and Services on the Site have no contractual value. Teslapimp advises the User to refer to the Product or Service sheet and in particular to its description to know its accessibility, use and precise characteristics. The information on these descriptions comes from different sources (manufacturer manuals, sales partners, etc.), therefore, in case of doubt, or to obtain additional information, the User is invited to contact Teslapimp’s Customer Service.

Teslapimp shall not be liable for:

any damage resulting from the temporary impossibility of accessing one of the Services offered by the Site,
any mistreatment of the Service and its consequences resulting from a malfunction or restricted or degraded access to the Internet by the User,
any damage and consequences resulting from its use of the Site, its Services and content,
the impossibility of having access to the Site, Services and Content, with the exception of direct damage resulting from gross negligence or intentional misconduct,
any damage resulting from the installation or use of the Services by the User,
any event resulting from a case of force majeure that would delay or prevent the performance of its obligations,
content of sites linked directly or indirectly to the Site that are not under the control of Teslapimp.

Unless there is a provision of public or mandatory order, for any damage and loss that may appear as a consequence of total or partial non-performance or culpable performance of its contractual or extra-contractual obligations, Teslapimp will only be liable up to the only actual and proven damages and losses proven by the User which are the immediate consequence of these without the total amount of damages to be paid by Teslapimp, all generating events combined, may not exceed the amount that the User paid to Teslapimp to use the harmful Services (such as the time of internet connection related to the use of the Services, the purchase of specific Product to participate in the Services).

This limitation also applies to all consequences, including restitutions by equivalent, that would oppose Teslapimp in the event of nullity or termination of the Service.

Teslapimp shall in no event be liable for indirect damages suffered by the User such as, without limitation, loss of revenue, loss of turnover, loss of profits, loss of expected savings, or any indirect or derived damage, cost or expense.

4.2 RESPONSIBILITY OF USERS

The User is responsible for the risks associated with the use of his login ID and password related to the Teslapimp account. The User’s password must remain secret. The User undertakes to protect and guarantee the maintenance of the confidentiality of his authentication elements, it being specified that he remains fully responsible for all activities that occur on his behalf on the Site and on his Teslapimp account, whether he has knowledge or not.

The User is solely responsible for his navigation on the Site. The User acknowledges being responsible for the publications posted on the Site and in particular for their content (choice and selection of Products and Services offered on the Site, characteristics of his vehicle, opinions, forum discussion, etc.), their conservation and use.

The User must ensure the compatibility and verification of the information entered on the Site.

4.3 INDEMNIFICATION

The User agrees to indemnify, defend and hold harmless Teslapimp, their affiliates, members of their management, their employees, shareholders, employees, contractors and subcontractors, with respect to all claims, actions, claims, damages, losses, costs, debts and expenses arising directly or indirectly (i) User’s access to or use of the Services, (ii) content, and (iii) the violation of these Terms.

5. THIRD PARTY SERVICES

Hypertext links to websites published by third parties may be present on the Site and Teslapimp Services. The User is informed that by clicking on these links, he will leave the Site. Teslapimp has no control over the web pages on which these links lead and cannot, under any circumstances, be responsible for their contents, modifications, updates, and malfunctions.

7. PROTECTION OF PERSONAL DATA

7.1 PERSONAL DATA

Teslapimp acts as the controller of the collection and processing of your personal data. We implement treatments dedicated to the Services and to the management of the relationship with our Users, Customers and prospects to allow each of them to personalize to maintain and repair their vehicle.

Teslapimp implements measures to guarantee the confidentiality, security and integrity of the User’s personal data, and undertakes to ensure that its service providers to whom it subcontracts services guarantee the same level of security as its own.

Teslapimp expressly invites the User to read its Personal Data Protection Policy , which is an integral part of the GTCU.

7.2 COOKIE AND IP ADDRESS

8. INTELLECTUAL PROPERTY

The User acknowledges that all content appearing on the Site including: domain name, trademarks, texts, graphics, photographs, drawings, sounds, data, images, audios and videos, but also the Teslapimp tree structure, its navigation plan, its logos, the design and organization of its sections, their titles, the databases, their structures and contents, existing or future, are protected and are the exclusive property of Teslapimp.

Consequently, unless expressly authorized in advance by Teslapimp, all reproductions, representations and uses by the User are prohibited.

Any breach by the User of these obligations would constitute an infringement.

9. MODIFICATION AND TERMINATION OF SERVICES

The User acknowledges and accepts that Teslapimp has the possibility at any time and for any reason whatsoever to modify, suspend and delete its Services present on the Site.

The User accepts that Teslapimp suspends its access to the Services without notice, formal notice or compensation of any kind whatsoever, in the event of breach of any of the obligations described in the GTCU, or the legislation in force and in particular in the event of:

infringements or violations of the GTCU and or any other documents regulating the Services of the Site,
non-compliance with a legal or regulatory provision in force,
unauthorized login attempt, by fraudulent use of the system or by usurpation of access credentials,
technical malfunction that led by mistake to the deactivation of the User’s registration.

The User may at any time make a request for deletion of his Teslapimp account in accordance with its Privacy Policy.

AGREEMENT ON EVIDENCE

The User acknowledges that the computerized consent records stored within Teslapimp’s electronic file processing servers, electronic communications and electronic documents are considered proof of the exchanges between the User and Teslapimp. The User acknowledges that these electronic exchanges have the same probative value as writings and paper documents.

The User acknowledges and accepts that, after authentication on the Site, any manifestation of will through the use of the Services offered by Teslapimp, whether paid or free, constitutes an electronic signature and characterizes proof of consent within the meaning of the provisions of the Civil Code.

APPLICABLE LAW AND DISPUTE RESOLUTION

The GTCU are subject to French law.

For any difficulties relating to the validity, application or interpretation of the GTCU, the User is invited to contact Teslapimp, by e-mail at the following address contact@Teslapimp.com via the contact page.

In the absence of an amicable settlement, any dispute will be submitted to the French courts.
